Terms of Service
Last updated: 20 September 2024
Nature of the Service
QuantHealth Ltd ("the Company") provides an AI clinical trial simulation platform. It produces probability-weighted simulation outputs for scientific and clinical planning by biopharma companies and CROs.
The platform's outputs are computational tools, not medical advice or regulatory submissions, and they do not assure clinical or commercial results. The client and its clinical team retain sole responsibility for protocol decisions, filings, and trial conduct. Outputs support design discussions and do not replace qualified scientific or medical judgment.
1. Agreement
These Terms apply to qunathealth.com and the QuantHealth simulation platform, together the "Service", provided by QuantHealth Ltd ("the Company") at Rothschild Boulevard 45, Floor 6, Tel Aviv 6789141, Israel. Your use of the Service means you accept these Terms. They do not restrict statutory rights in your country of residence or incorporation.
2. Use of the Service
- You must be a legal adult or an authorized corporate representative using the Service for commercial purposes.
- Do not use the Service unlawfully, disrupt its operation, or seek unauthorized access to systems, accounts, or data.
- You may not scrape, reverse-engineer, decompile, or copy the Service or its simulation models, except where mandatory law permits.
- Do not submit real patient personally identifiable information. Compound parameters and anonymized population statistics are permitted; individual patient health records are not.
3. Intellectual Property
The Company or its licensors own the Service, including its simulation engine and virtual patient models, methodology, and software. Israeli and international intellectual-property law protects it. We grant a limited, non-exclusive, non-transferable licence for the Service's intended use during your engagement or subscription.
Simulation deliverables created for your engagement belong to you. We receive no rights to your compound data beyond those needed to provide the Service, and will not use it to train or improve our models without a separate written agreement.
4. Client Content and Confidentiality
You are responsible for the accuracy and completeness of submitted compound data, protocol assumptions, and other content. You confirm that you may submit it and that submission violates no third-party obligation.
We treat submitted compound data, pharmacokinetic parameters, and client-specific scientific materials as confidential business information. Access is limited to personnel delivering the engagement, who are bound by confidentiality obligations consistent with pharmaceutical services industry practice.
5. Disclaimers
The Service is offered "as is" and "as available". To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular clinical or regulatory purpose, and non-infringement. Mandatory consumer warranties in your country of residence remain unaffected.
Outputs represent probabilities from computational models calibrated with published clinical data and virtual patient populations. They depend on the assumptions, parameterizations, and limitations in the methodology documentation for each engagement. Regulatory agencies may reach different conclusions using different assumptions.
6. Limitation of Liability
To the fullest extent permitted by law, the Company's total liability for claims related to the Service is capped at the fees you paid us during the 12 months before the claim, except where mandatory law prevents limitation. The Company is not liable for indirect, consequential, or speculative damages, including losses from clinical decisions based on simulation outputs.
7. Indemnification
You will indemnify and hold harmless the Company against claims, damages, and expenses arising from your use of the Service, breach of these Terms, violation of third-party rights, or clinical decisions made in reliance on simulation outputs.
8. Termination
We may suspend or terminate access for a material breach, non-payment, or conduct threatening platform integrity or security. On termination, your Service licence ends. Sections 3 (intellectual property ownership), 4 (confidentiality), 5 (disclaimers), 6 (liability), 7 (indemnification), and 9 (governing law) survive by their nature.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of Israel.
Disputes are subject to the non-exclusive jurisdiction of the competent courts in Tel Aviv, Israel, without prejudice to mandatory consumer-protection or statutory rights applicable in your country of residence or incorporation.
10. Changes and Contact
We may revise these Terms. Material revisions will show a new "Last updated" date. Continuing to use the Service after they take effect means you accept them.
